End-User License Agreement

Please read this agreement carefully. By accessing or using AI Bookkeeper, you agree to be bound by the terms of this End-User License Agreement (“Agreement”). If you do not agree, do not use the Application.
1. Parties and Definitions
“Licensor” means B5 Moody Enterprises, L.L.C., the developer and operator of the Application.
“Application” means the AI Bookkeeper software, including all associated scripts, services, agent logic, APIs, and documentation provided by Licensor.
“Client” or “You” means the business entity or individual that has been authorized by Licensor to use the Application.
“Authorized Users” means the employees or contractors of Client who are permitted to access the Application under this Agreement.
2. License Grant
Subject to the terms of this Agreement, Licensor grants Client a limited, non-exclusive, non-transferable, non-sublicensable license to use the Application solely for Client’s internal bookkeeping and financial reconciliation purposes.
This license does not include the right to:
- Copy, modify, adapt, or create derivative works of the Application.
- Reverse engineer, decompile, or disassemble any part of the Application.
- Resell, sublicense, or otherwise transfer the Application or access to it to any third party.
- Use the Application to process financial data for any entity other than Client without prior written authorization from Licensor.
3. Authorized Use
Client may use the Application to:
- Automate daily sales reconciliation and cash over/short journal entries.
- Perform automated bank feed reconciliation against QuickBooks Online.
- Generate exception reports and financial summaries for internal review.
- Execute scheduled bookkeeping tasks as configured and approved by Client.
All automated actions taken by the Application on Client’s QuickBooks Online account are performed under Client’s authorization, obtained through the QuickBooks Online OAuth 2.0 flow. Client is responsible for maintaining the accuracy of its chart of accounts, account mappings, and configuration settings.
4. Client Responsibilities
- Client is responsible for reviewing all automated journal entries, exception reports, and reconciliation outputs before treating them as final.
- Client must maintain appropriate human oversight and sign-off for all month-end financial close activities. The Application is a preparer tool; human review is a required control.
- Client is responsible for ensuring that its use of the Application complies with applicable accounting standards, tax regulations, and any obligations to Client’s own clients or auditors.
- Client must promptly notify Licensor of any unauthorized access to its Application credentials or QuickBooks Online account.
5. Data and Privacy
The Application accesses Client’s QuickBooks Online financial data solely to perform the services described in this Agreement. Licensor’s collection, use, and protection of Client data is governed by the AI Bookkeeper Privacy Policy, which is incorporated into this Agreement by reference.
Licensor does not sell, share, or disclose Client financial data to any third party except as required to provide the Application’s core functionality (e.g., making authorized API calls to Intuit on Client’s behalf).
6. Intellectual Property
All rights, title, and interest in and to the Application, including all source code, agent logic, documentation, and associated intellectual property, remain exclusively with B5 Moody Enterprises, L.L.C. This Agreement does not convey any ownership rights to Client.
Client retains all rights to its own financial data accessed by the Application.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF FINANCIAL OUTPUTS, OR NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ALL AUTOMATED RECONCILIATION OUTPUTS WILL BE FREE OF DISCREPANCIES. CLIENT IS SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING ALL FINANCIAL ENTRIES BEFORE SUBMISSION TO ANY REGULATORY AUTHORITY OR AUDITOR.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR’S TOTAL LIABILITY TO CLIENT FOR ANY CLAIM ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO LICENSOR IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM CLIENT’S USE OF THE APPLICATION, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Term and Termination
This Agreement is effective from the date Client first accesses the Application and continues until terminated by either party.
- Termination by Client: Client may terminate this Agreement at any time by revoking the Application’s QuickBooks Online authorization and providing written notice to Licensor.
- Termination by Licensor: Licensor may terminate this Agreement immediately upon written notice if Client breaches any material term of this Agreement.
- Effect of termination: Upon termination, Client’s license to use the Application ceases. Licensor will delete Client’s encrypted credential files within 30 days of termination.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Lafayette Parish, Louisiana.
11. Entire Agreement
This Agreement, together with the AI Bookkeeper Privacy Policy, constitutes the entire agreement between Client and Licensor regarding the Application and supersedes all prior agreements or understandings relating to the same subject matter.
